1. Agreement to Terms

By downloading, installing, or using Orvia ("App"), you agree to be bound by these Terms of Use. If you do not agree, do not use the App.

2. License and Permitted Use

We grant you a limited, non-exclusive, non-transferable, revocable license to use this App for personal or business productivity purposes on devices you own.

You may: use the App to manage tasks, goals, focus sessions, and calendar events; delegate actions to the Orvia AI assistant; sync data across your devices.

You may not: reproduce or distribute the App, reverse-engineer or decompile it, create derivative works, use it for unauthorized commercial purposes, attempt unauthorized access, remove proprietary notices, or use the App in violation of applicable laws.

3. The Orvia AI Assistant

Orvia includes an agentic, tool-calling AI assistant that can create, edit, and schedule tasks, focus sessions, and other items in your account based on your natural-language requests.

• You are responsible for reviewing and confirming any consequential action the assistant proposes before it is finalized, where the App requests confirmation
• The assistant's outputs (plans, summaries, suggestions) may occasionally be inaccurate or incomplete — you remain responsible for verifying anything time-sensitive or important
• The Orvia AI assistant is available only with an active Orvia Pro subscription

4. Intellectual Property Rights

The App is owned by LynxApps and protected by copyright. You retain all rights to the tasks, goals, notes, and content you create. We retain all rights to the App itself, including its design, branding, and underlying technology.

5. Accounts and Data

5.1 Account Creation

You may sign in with Google or create an account with email. You are responsible for maintaining the confidentiality of your account credentials.

5.2 Your Data

You are responsible for the accuracy of the information you enter. You grant us permission to store, process, and synchronize your data as needed to provide App functionality, including sending relevant data to our AI processing layer when you use the assistant.

6. Subscription Terms

6.1 Free Plan

• Core task, focus, and calendar organization
• Limited goals and focus sessions
• No access to the Orvia AI assistant

6.2 Orvia Pro

• Monthly: $9.99/month (auto-renewing)
• Yearly: $79.99/year (auto-renewing)
• Includes a 7-day free trial for new subscribers
• Unlocks the Orvia AI assistant, unlimited goals & focus sessions, advanced analytics, and priority sync & backup

6.3 Billing

Subscriptions are billed through Apple's App Store and managed via RevenueCat. Payment is charged to your Apple ID. Free trials convert to a paid subscription automatically unless cancelled at least 24 hours before the trial ends.

6.4 Cancellation & Refunds

Cancel anytime in your Apple ID subscription settings. Cancellation takes effect at the end of the current billing period. Refunds are handled by Apple per their App Store Refund Policy — we do not issue refunds directly.

7. Disclaimer of Warranties

The App is provided "AS IS" without warranties of any kind. We do not warrant that the App, including the AI assistant, will be error-free, uninterrupted, or that its suggestions and actions will always be accurate.

8. Limitation of Liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, including missed appointments, lost productivity, or data loss arising from your use of the App or its AI assistant. Our total liability is limited to the amount you paid for your subscription in the 12 months preceding the claim.

9. Third-Party Services

The App relies on Supabase (authentication and data), Google Sign-In (authentication), RevenueCat (subscription billing), and Apple services (App Store, Live Activities). These are governed by their own terms, and we are not responsible for their practices.

10. Termination

You may stop using the App anytime by uninstalling it and cancelling subscriptions. We may terminate or suspend your access if you violate these Terms or misuse the App.

11. Changes to These Terms

We may update these Terms anytime. Continued use after changes constitutes acceptance of the new terms.

12. Governing Law

These Terms are governed by the laws of Pakistan.
